Item 1.01 – Entry into a Material Definitive Agreement.
On February 29, 2008, Nano-Proprietary, Inc. entered into a settlement agreement with the Defendants identified in the attached Exhibit 10.1 to this report. The material terms of the agreement, including receipt of the payment identified in the attached Exhibit 10.1 to this report, were completed on March 11, 2008.
