MAX CAPITAL COMMENTS ON BERMUDA COURT’S DISMISSAL OF
VALIDUS’S APPLICATION FOR A SCHEME OF ARRANGEMENT
Max/IPC Transaction Ready to Close Following Shareholder Vote on June 12
Hamilton, Bermuda – May 29, 2009 – Max Capital Group Ltd. (NASDAQ: MXGL; BSX: MXGL BH) commented on today’s ruling by the Bermuda Supreme Court, in which the Court dismissed the application by Validus Holdings, Ltd. to convene a meeting of shareholders of IPC Holdings, Ltd. in connection with its “Scheme of Arrangement” to acquire all shares of IPC.
The ruling eliminates the uncertainty that had been introduced by the proposed Scheme and clears the way for votes by shareholders of both IPC and Max on the proposals related to the companies’ amalgamation agreement for their respective annual meetings on June 12, 2009. If shareholder approvals are obtained at the meetings, the closing is expected to occur shortly thereafter.
W. Marston (Marty) Becker, Chairman and Chief Executive Officer of Max Capital stated, “The result reached today in the Bermuda court was the appropriate one. Validus has unsuccessfully tried almost every legal maneuver imaginable, and this decision eliminates uncertainty for shareholders of IPC and Max. Max and IPC have a deal that is ready to be voted upon and closed. It has received broad support and creates meaningful value for all shareholders today and in the future.”
The IPC-Max combination is expected to provide a diversified and balanced platform for growth that should drive stronger performance and value for shareholders of both companies.
The Boards of Directors of both IPC and Max unanimously recommend that shareholders vote “FOR” the proposals relating to the IPC/Max transaction at each company’s upcoming shareholder meeting.
Copies of the joint proxy statement/prospectus as well as a summary thereof and an updated investor presentation, detailing the benefits of the transaction, are available on Max’s corporate website at www.maxcapgroup.com.
