ICA ANNOUNCES THE POTENTIAL TRANSFER OF THE IRAPUATO - LA PIEDAD
AND QUERÉTARO – IRAPUATO PROJECTS TO RED DE CARRETERAS DE
OCCIDENTE
Mexico City, September 9, 2010 – Empresas ICA, S.A.B. de C.V. (BMV and NYSE: ICA) announced that it has entered into a non-binding letter of intent with Red de Carreteras de Occidente, S.A.P.I.B. de C.V. (“RCO”) to transfer 100% of ICA’s shares in Concesionaria Irapuato La Piedad, S.A. de C.V. (“CONIPSA”) and Concesionaria de Vías Irapuato Queretaro, S.A. de C.V. (“COVIQSA”) to RCO. In exchange for the shares in CONIPSA and COVIQSA, ICA would receive consideration in cash and, principally, additional shares in RCO.
In order to finance the possible acquisition, RCO held a Shareholders’ Meeting on September 8, 2010 where, beside other subjects, a capital increase was approved.
Any such transaction would be subject to, in the case of both ICA and RCO, the negotiation and execution of definitive contractual agreements, any required corporate, governmental and/or lender approvals, and the satisfaction of such other conditions as would be contained in the definitive agreements.
