The Chief Investment Officer of the Registrant's investment adviser now generally attends meetings of the adviser's valuation committee. The valuation committee receives regular reports of cases where the pricing vendor used in connection with the fair valuation of an investment is changed at the initiative of the portfolio management team responsible for management of the Registrant's investment program. Representatives of the adviser periodically compare fair valuations used by the Registrant determined by reference to or based on input from a particular vendor or vendors against input provided by other vendors, where available. In any case where a security is valued using models developed or applied internally by the portfolio management team, the adviser's risk management team selects, on a periodic basis, a sample of model prices for testing and provides the results of this testing to the adviser's senior management. In connection with its testing, the adviser’s risk management team may consult with experts regarding the model or inputs.
